10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

11. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

12. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site after any such change constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Site.
